Help with Upgrading Cpu

Wow! the best advice I have seen in the web! Thanks.

Here is my problem...

I purchased a new cpu (intel core 2 duo E8400) to install on my custom system.

Here is what I have:

DFI Infinity Dark P965 - it is able to take core 2 duo lga775
Antec True Power Trio 650 watts

After performing many test, I completely stripped down the computer.

So, I have the MB sitting on the MB box.
No RAM installed
All peripherals out
No Keyboard
No mouse

Case speaker is connected.

PROBLEM: NO Beeps...

With the OLD CPU (Pentium 4 3Ghz):

-- Fan turns on but no beeps

With NEW CPU (C2D)

-- Fan turns on and off, on and off for about 3 - 4 times then off
-- reset system with pin switch and pressing power on and off while power supply removed
-- ran for a few seconds cpu with no fan. cpu DID get warm


So does this leave me with a dead motherboard?

One other thing, before all these problems, when I had the old cpu still in, when I shut off the computer and immediately try to turn it on, it would start up then stop. I had to wait sometimes for 30 minutes or more for the computer to cool down before it would start.

Things I have done:

-- tested power supply (green to black). Fan runs. No problem

hi,
this may be due to a short circuit of the motherboard.
try to get it out of the casing, clean it, remove all what you can (RAM, graphics card, etc)
clean and plug them on the motherboard.
connect the power supply, the switches and turn the motherboard on.
remember, this is being done out of the casing.
be sure to ground yourself and do not touch any part when the computer is on.
