I experienced the same problem (my USB device is PQI Traveling Disk i221). My Windows Vista can not solve the problem, fortunately the Windows XP solved the problem. Try these steps on Windows XP:
1. Start, Control Panel,
2. Performance and Maintenance,
3. Administrative Tools,
4. Computer Management,
5. Disk Management,
6. Find the USB drive (usually the last storage device before the optical drive),
7. Click on the USB drive,
8. Right click on it and you will see the options (New Partition or Format)
9. Follow the instruction (I chose FAT32), but please do NOT chose Quick Format.

I tried in the same way but it is showing that unable to complete the format.
Even i tried in msdos prompt also but i could not resolve this issue.

if any one can't get that then try this
right click on my computer
>manage>disk management
right click on flash drive/ pen drive/ window show 3 drive
format (not in ntfs try it in exFAT)
it works surely
i solve my problem on 40 gb pen drive
