Pendrive formatting problem

Hello,
I have a problem to format my pen drive ,when ever i am trying to format my pen drive ,this message is being displayed."windows cannot format this drive.Quit any disk utilities or other programs that are using this drive,and make sure that no window is displaying the contents of the drive,then try formatting again."

Please,help me............that i can format my pen drive.

Configuration: Windows XP
