Can I use iPhone and iP-Touch with one iTunes

Hello,
I am new here. Thanks in advance!

Here is my situation:
1. a 1st Gen. iPhone, unlocked, with OS 2.2
2. a new iPod Touch, version 2.2.1
3. they both work fine with my iTunes 8

Now, iTunes ask if I want to upgrade the iPod Touch to 3.1.2. Should I do it?

also, iTunes keeps asking me to upgrade iTunes to 9. Should I do it?

More importantly, it asks me if I want to upgrade my iPhone to version3.0 (or 3.1). Could I do it without making my iPhone locked again?
